Welcome to Checkaro. These Terms and Conditions (“Terms”) govern your access to and use of our background verification services, website, and related offerings. Please read these Terms carefully before using our services.
By accessing or using VerifyShield’s services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.
1. Definitions
“Client” refers to any individual or organization that engages VerifyShield to conduct background verification services.
“Subject” refers to the individual whose background is being verified.
“Services” refers to all background verification, screening, and related services provided by VerifyShield.
“Report” refers to the verification results and documentation provided to Clients.
2. Service Description
VerifyShield provides background verification services including but not limited to:
- Employment verification and reference checks
- Educational qualification verification
- Criminal background checks
- Address verification
- Identity verification
- Credit history checks (where applicable)
- Professional license verification
- Field investigations and FCU services
3. Client Obligations
As a Client, you agree to:
- Obtain proper written consent from the Subject before initiating any background check
- Provide accurate and complete information necessary for verification
- Use the verification reports only for lawful purposes
- Comply with all applicable laws and regulations regarding employment screening
- Maintain the confidentiality of verification reports
- Not share reports with unauthorized third parties
- Follow adverse action procedures when required by law
4. Accuracy and Limitations
While we strive for accuracy, you acknowledge that:
- Verification results are based on information available at the time of the check
- We rely on third-party sources that may have inaccuracies or delays in updates
- Some records may not be accessible due to legal restrictions or source limitations
- International verifications may have different timelines and accessibility
- Reports are provided “as is” based on available information
VerifyShield is not responsible for decisions made based on our reports. Clients are responsible for their own hiring and business decisions.
5. Payment Terms
- Fees are as specified in the service agreement or current price list
- Payment is due within 30 days of invoice date unless otherwise agreed
- Late payments may incur interest at 1.5% per month
- All fees are non-refundable once the verification process has begun
- Prices are subject to change with 30 days’ notice
6. Confidentiality
Both parties agree to maintain the confidentiality of all information shared during the course of our business relationship. This includes but is not limited to personal data, verification reports, business processes, and pricing information. Confidentiality obligations survive the termination of service.
7. Intellectual Property
All content, methodologies, software, and proprietary processes used by VerifyShield remain our exclusive intellectual property. Clients are granted a limited license to use verification reports for their intended purpose only. Reproduction, distribution, or modification of our materials without written consent is prohibited.
8. Limitation of Liability
To the maximum extent permitted by law:
- VerifyShield’s liability is limited to the fees paid for the specific service in question
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for losses arising from Client’s use of our reports
- We are not liable for delays caused by third-party sources
9. Indemnification
You agree to indemnify and hold harmless VerifyShield, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
10. Dispute Resolution
Any disputes arising from these Terms shall be:
- First attempted to be resolved through good-faith negotiation
- If unresolved, submitted to binding arbitration in Mumbai, India
- Governed by the laws of India
11. Termination
Either party may terminate services with 30 days’ written notice. VerifyShield reserves the right to immediately terminate services for breach of these Terms, non-payment, or suspected fraudulent activity. Upon termination, Clients remain responsible for payment of services rendered.
12. Modifications
VerifyShield reserves the right to modify these Terms at any time. Significant changes will be communicated via email or website notice. Continued use of our services after modifications constitutes acceptance of the revised Terms.
